OVERVIEW:

Candidate will require little direction and can really advise stakeholders and executives as well as negotiate on their behalf. They must be able to analyze contractual risk to the business and assist senior management in assessing risk exposure for the company. The selected candidate will lead our Contracts “department” and serve as the primary point of contact for the customer Contracting Officer and Partner subcontracts. They will provide the full life cycle (“cradle-to-grave”) U.S. Federal contract management, including proposal development, contract administration, and close-out to ensure compliance with contract requirements.

GENERAL DUTIES:

  • Perform cradle to grave contract and subcontract administration for government contracts
  • Draft and negotiate NDAs, TAs, vendor agreements, subcontracts, consulting/contractor agreements, license agreements, reseller agreements, and related amendments
  • Review RFIs, RFQs, and RFPs to ensure compliance and work alongside the sales team, finance, and legal in the proposal process
  • Understand and negotiate contractual terms and conditions; identify, evaluate, and brief management on areas of contractual risk
  • Analyze contractual risk to the business and assisting senior management in assessing risk exposure for the company
  • Serve as a liaison between internal and external parties during contract development and negotiation stages, as well as throughout contract execution
  • Review and analyze solicitations for potential risks, including compliance with requirements
  • Participate in proposal development, including writing relevant proposal portions and serving as a reviewer
  • Evaluate contract terms and conditions and work with our legal advisors to determine approach for non-standard terms
  • Manage contract administration, process contract modifications, and monitor compliance with required contract reporting
  • Perform Subcontracts administration to ensure prime contract flow downs are carried out and business issues are addressed
  • Participate in Organizational Conflict of Interest (OCI) process to ensure that potential issues are identified and mitigated
  • Be comfortable with ambiguity and be prepared to support the development of processes and governance
  • Build relationships, both with the customer and our business partners
  • Support internal/external audit activities as well as data requests from internal/external customers.
  • Facilitate productive communication with other departments regarding legal requirements, company policies, and contract terms
  • Prepare and disseminate information to management regarding contract status
  • Provide contract summaries and ensure contract execution in accordance with guidelines and company policies
  • Help to build and maintain a contract repository database; track expiration of contracts
  • Create, simplify and improve legal and contracting processes
  • Perform contracts/legal process training for new employees
  • Maintain corporate registrations (SAM, D&B, etc.)

REQUIRED QUALIFICATIONS:

  • Bachelor’s degree in a related field and 8+ years of experience successfully managing Federal contracts at a large-scale corporation, IT consulting firm, or government entity
  • Expert knowledge of the FAR/DFARS contracting requirements for working with the Federal Government
  • Direct experience supporting DoD and IC contracts
  • Direct experience supporting contracts and proposals under multiple contract types (IDIQ, FFP, T&M, etc.…)
  • Experience in drafting and negotiating contracts, statements of work, and service level agreements
  • Excellent oral and written communication skills are required in preparing clear, concise, and grammatically correct materials for communicating information effectively to others
  • Ability to document and improve work processes in order to make workflow more efficient and productive
  • Ability to creatively solve problems and identify solutions
  • Ability to work independently with minimal guidance while being a team player able to effectively manage a demanding workload
  • Ability to resolve contractual issues and recommend business solutions to management
  • Strong organization skills with the ability to work in a fast-paced start-up environment while managing competing priorities
